Junior Securities Law Clerk - Toronto

Role Summary

The primary purpose of this position is to provide backup and a broad range of assistance to a Senior Securities Law Clerk.

Primary Responsibilities

  • Conduct Canadian securities regulatory filings for public companies on SEDAR, SEDI and NRD with direction from the Securities Law Clerk.
  • Attend to filings with the Toronto Stock Exchange using TSX SecureFile, the TSX Venture Exchange and the Canadian Securities Exchange.
  • Attend to continuous disclosure filings on SEDAR and SEDI.
  • Assist with the dissemination of press releases.
  • Update minute books.
  • Prepare and file forms related to capital markets participation fees under the direction of the Securities Law Clerk.
  • Prepare and file exempt distribution reports.
  • Assist with the preparation of annual resolutions and related correspondence for registrants.
  • Open, maintain and close files both electronically and physically.
  • Assist other members of the securities team generally with all matters relating to the firm's securities practice.
  • Other duties as assigned.

Qualifications & Education

  • Successful completion of the ILCO Fellowship Securities Law Clerk course or a post-secondary law clerk certificate/diploma offered by a recognized Ontario educational institution.
  • Completion of the ILCO Corporate Law Clerk course would be an asset.
  • 1 to 3 years' of securities law experience in a legal or regulatory environment.
  • Experience with SEDAR and SEDI. 
  • Experience with NRD would be an asset.
  • Experience with maintaining databases and online filings.
  • Working knowledge of DisclosureNet would be an asset.
  • Knowledge of legal terminology and procedures.
  • Proficient with legal software and MS Office 2010 (Word, Excel, Outlook).

  • Ability to multi-task and balance the priorities assigned.
  • Eagerness to learn and further develop skills as a Law Clerk.

  • Strong communication skills (both verbal and written) including the ability to deal with clients, and all levels of staff.
  • Excellent attention to detail and diligent proofreading skills.
  • Passionate about providing quality service and work product to clients.
  • Good judgement and ability to exercise discretion when dealing with confidential and sensitive matters.
