Warren has acted as counsel to underwriters, and issuers from a number of industries, including mining and mineral exploration, pharmaceuticals and biotechnology, financial services, and manufacturing.

SIGNIFICANT TRANSACTIONS

Acted for a publicly-listed financial technology issuer for $21 and $36.6 million bought-deal private placements of common shares in Canada, the United States, and offshore jurisdictions.

Acted for a financial technology company in connection with its reverse take-over and listing on the TSX Venture Exchange, and subsequent graduation to the Toronto Stock Exchange.

Acted for a TSX-V listed pharmaceutical company for a public offering of units for gross proceeds of $3 million.

Acted for a TSX-V listed pharmaceutical company for a rights offering for gross proceeds of $2.2 million.

Acted for a TSX listed mineral exploration company for a series of non-brokered private placements for aggregate gross proceeds of $2.3 million.

Acted for a TSX-V listed mineral exploration company in connection with its acquisition by way of amalgamation for total consideration of $1.5 million.

Advised a TSX-V listed mineral exploration company in entry into an option and joint venture agreement, and subsequent buy-out of its joint venture partner.
