We regularly advise finance providers and borrowers on a wide variety of loan and finance transactions including traditional bank loans, asset-based and cash-flow loan transactions, acquisition loans, venture dent including mezzanine and second-lien loans, convertible debentures, equipment leasing and other finance transactions. We have extensive experience in structuring, negotiating and documenting complex secured and unsecured financing transactions and related matters. Our lender clients include banks, commercial finance companies and other public and private lending institutions. In addition, we are routinely engaged by law firms to act for their foreign lender or borrower clients in connection with finance transactions originating in foreign jurisdictions.

We regularly rely on cross-disciplinary teams from other practices in our firm such to achieve innovative solutions for our clients in all types of situations.

Representative engagements include:

  • acting as Canadian counsel to various German bank-led lending syndicates in connection with the provision of senior and subordinated credit facilities to multinational corporations with operations in Canada with transaction values well in excess of $100 million.

  • acting for a major Ontario university in connection with its $100 million bond issue.

  • acting for various US-based private equity funds and their portfolio companies in connection with their cross-border acquisition and operating credit facilities with transaction values up to in excess of $500 million.

  • acting for various corporate clients (which operate in widely different fields, from mining to software, and virtually everything in between) in connection with credit facilities that included term loans, lines of credit, foreign exchange facilities, asset-backed loans, subordinated debt, convertible debentures, mezzanine debt and debtor-in-possession facilities.

  • acting for a private industrial real estate investment fund on various cross-border credit facilities including a $80 million secured debenture financing and a $180 million secured acquisition and construction facility.

  • acting for a Canadian bank in connection with various term and operating credit facilities granted to a leading Canadian food processing business.
