Program Description:
In recent years, complex indemnification provisions and limitations of liability have become “standard” in supply contracts ? they are key provisions which allocate risk between a supplier and its customer. Negotiations can often get bogged down and an inordinate amount of time spent on negotiating indemnities and limitations of liability. Business people can easily get frustrated when lawyers reach an impasse regarding these provisions. We will analyze indemnities and limitations of liability, discuss the challenges associated with them, and illustrate strategies to resolve them in a manner which works for all parties.
