David Knight

David Knight is a senior partner in the Securities Practice Group at WeirFoulds.

David is widely recognized for his more than 30 years of experience. He is well-versed at advising innovative emerging companies to executing some of the most significant securities transactions in Canada. His clients cover many industry sectors, including mining/natural resources, life sciences, technology and industrial manufacturing, and include both public and private companies, investment dealers and investment advisers. David regularly represents both issuers and investment dealers.

He works with his clients on initial public offerings (IPO), prospectus offerings, private placements, equity and debt financings, stock exchange matters such as original listings, reverse take-overs and capital pool companies, mergers and acquisitions, take-over bids and defences, independent committees, corporate reorganizations, including arrangements, going private transactions and restructurings, proxy contests, issuer bids, corporate governance, continuous disclosure filings, compliance matters relating to securities and corporate law, appearances before securities commissions, registration of domestic and foreign market participants, investment funds and asset management, private equity and venture capital funds and investments, and income trusts.

David represents mining clients on property acquisition and development, including option and joint venture agreements, and has extensive experience in flow-through financing. He works with his mining sector clients from the early days of mineral exploration activity through to project development, finance, production and marketing.

David is a frequent presenter at client and professional seminars. He is a long-standing and active member of the Prospectors and Developers Association of Canada (PDAC), and is also widely recognized for his work in Mining and Natural Resources and Securities Law in publications and directories, including Lexpert and Best Lawyers.
